Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Services") provided by Sonoshare ("Sonoshare," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

  • "Studio" means an ultrasound studio business that subscribes to the Services to upload and deliver sonogram media to its clients.
  • "Studio User" means any individual authorized by a Studio to access the studio dashboard, including administrators and technicians.
  • "Client" means an individual who receives access to sonogram media through the Services.
  • "Media" means sonogram images, videos, thumbnails, and any processed derivatives uploaded to or generated by the Services.

2. Eligibility

You must be at least 18 years old to create a Studio account. Client accounts may be created by individuals 16 years or older, or by a parent or legal guardian on their behalf. By using the Services, you represent that you meet these requirements.

3. Accounts and Authentication

Studios register with an email address and password. Clients authenticate via phone OTP (SMS) or email magic link. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you become aware of any unauthorized access to your account.

Studios are responsible for ensuring that only authorized personnel have access to their studio dashboard and client media.

4. Studio Subscriptions and Payment

Sonoshare offers a free Starter plan and paid plans (Growth and Pro) available on a monthly or annual billing cycle. Plan details, including pricing, storage capacity, and media retention periods, are described on our pricing page and may be updated from time to time.

  • Free trial. Paid plans include a 14-day free trial. A payment method is collected when the trial begins, and no charge is made until the trial ends. You may cancel during the trial at no cost.
  • No per-session or per-client fees. Studios on a paid plan are charged a fixed rate regardless of the number of sessions or clients served within their plan limits.
  • Billing cycle. Paid subscriptions are billed in advance, monthly or annually according to the interval selected. Annual plans are billed once per year at the annual rate.
  • Plan changes. Studios may upgrade or downgrade between paid plans at any time through the billing portal. Changes take effect immediately, and the next invoice is prorated to reflect the change.
  • Cancellation. Studios may cancel their subscription at any time through the billing portal. The subscription remains active through the end of the period already paid for, after which the studio returns to the free Starter plan. Media and galleries remain accessible within Starter's limits and retention window.
  • Price changes. We will provide at least 30 days' written notice before any price increase takes effect. Continued use of the Services after a price change constitutes acceptance.

5. Media Ownership and Licensing

Studios and their clients retain all ownership rights to the Media uploaded to the Services. By uploading Media, the Studio grants Sonoshare a limited, non-exclusive license to store, process, compress, generate thumbnails for, and deliver the Media solely for the purpose of providing the Services.

We will not use Media for advertising, marketing, training, or any purpose unrelated to delivering the Services to the Studio and its clients.

6. Acceptable Use

You agree not to:

  • Upload content that is not sonogram or ultrasound media related to your studio's services
  • Use the Services for any illegal purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to other accounts, systems, or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Share account credentials with unauthorized individuals
  • Use the Services to transmit malware, spam, or other harmful content

We reserve the right to suspend or terminate accounts that violate these Terms, with notice where practicable.

7. Media Retention and Deletion

Each plan includes an active retention window, measured from each item's upload date, during which Media is kept in full resolution and remains instantly available:

  • Starter: 6-month active retention
  • Growth: 24-month active retention
  • Pro: 36-month active retention

These windows describe the period we commit to keeping Media in full resolution. They are a policy ceiling rather than an automatic deletion schedule: once Media has aged past its window, or when a subscription ends and the Studio returns to the free Starter plan, Media beyond the applicable plan's limits may be removed. We will provide notice and an opportunity to export before Media is permanently deleted, and we are not responsible for Media deleted in accordance with these retention policies. Studios and Clients are encouraged to download and maintain their own copies of important Media.

We may in future introduce a lower-cost archive tier for Media past its active retention window. Any such tier will be described here before it applies to your Media.

8. Sharing and Access

Clients may generate secure share links to allow family members and friends to view their sonogram gallery. Share links may be configured with optional PIN protection. Every share link expires: the Client chooses how long it stays valid, up to a maximum of 90 days, and a link created without a choice expires at that maximum. Clients are responsible for managing who they share their gallery links with.

Recipients of share links may view Media without creating an account. Sonoshare is not responsible for what recipients do with Media they view through share links.

9. HIPAA Compliance

Sonoshare operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). We maintain administrative, technical, and physical safeguards to protect electronic Protected Health Information (ePHI), including encryption at rest and in transit, role-based access controls, and audit logging. Studios that require a Business Associate Agreement (BAA) should contact us at hipaa@sonoshare.baby.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for the accuracy or quality of sonogram media — that is the responsibility of the Studio and its licensed sonographers.

11. Limitation of Liability

To the maximum extent permitted by law, Sonoshare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the total amount paid by you to Sonoshare in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sonoshare and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Modifications to the Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes that affect your use of the Services.

14. Changes to These Terms

We may update these Terms from time to time. Any changes will be reflected by updating the "Last updated" date at the top of this page. We will notify Studios and Clients of material changes via email at least 30 days before they take effect. Continued use of the Services after changes are posted constitutes acceptance.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Dallas County, Texas.
